Chapter Constitution & Bylaws:
Article I -
Name
A. The name of this organization shall be the Inland Empire GTO Club.
Article II -
Purpose
A. The purpose of this organization shall be to promote the preservation,
enjoyment and restoration of the Pontiac GTO, and to educate both public and legislative bodies at all levels of
these cars' extraordinary contributions to the world's automotive, social
and industrial history.
Article III - Membership
A. Membership in this organization shall be open to any automotive
enthusiast. GTO ownership is not a prerequisite.
B. Membership may be terminated by two-thirds majority vote of the Board of
Officers and Directors for any member whose actions are deemed detrimental
to the club and/or GTOAA.
Article IV -
Dues
A. Annual dues must be remitted by the end of July for membership status to
be considered current. After August 1st club newsletters will only be sent
to members whose dues are current.
B. New members' dues shall be prorated, from the time membership starts to
the 30th day of June.
Article V -
Officers and Directors
A. The officers of this organization and their order of command shall be
President, Vice President, Secretary and Treasurer.
B. ALL officers must be members in good standing of the GTO Association of
America during the entirety of their term in office.
C. The president's term of office shall be limited to a maximum of two
consecutive years.
D. The four (4) directors must be in good standing of the Inland Empire GTO
Club during their entire term in office. Membership in the GTOAA is not
required, but is encouraged.
E. The directors' term will run for two (2) years. Two (2) directors will be
elected each year along with the slate of officers.
F. The terms of all offices shall run concurrently with the membership
calendar year.
Article VI -
Duties of the Elected Officers and Directors
A. The duties of the President shall be:
1. To preside at all meetings of the Club.
2. To have general supervision of the affairs of the Club.
3. To appoint any person or committees not otherwise ordered by the Club.
4. To personally represent the Club on proper occasions and business
contacts passed by the Board of Officers and Directors.
5. To assist all other officers of the Club in their records, correspondence
and other duties.
6. To arrange for a suitable location for each monthly membership and Board
of Officers and Directors meetings.
7. Contribute a statement to the Club newsletter at least six (6) times a
year, to be due by an appropriate deadline set by the Secretary.
8. To vote only when one vote is necessary to break a tie.
9. To provide copies of all Club-related correspondence, addressed to the
President and/or to the Club Secretary.
10. Attend all monthly membership meetings.
11. Attend all Board of Officers and Directors meetings.
12. To take all necessary measures to properly notify the GTOAA for the
purposes of obtaining insurance coverage for all Club-authorized activities
covered under that policy.
13. To arrive at all monthly membership meetings at least fifteen (15)
minutes prior to the start of said meeting.
B. The duties
of the Vice President shall be:
1. To perform the duties of the President in his or her absence.
2. Act as the Club Activities Coordinator whenever that office is not
otherwise assigned.
3. Assist the Secretary when necessary.
4. Attend all monthly membership meetings.
5. Attend all Board of Officers and Directors meetings.
6. Provide copies of all Club-related correspondence, addressed to the
Vice-President and/or to the Club Secretary.
7. To arrive at all monthly membership meetings at least fifteen (15)
minutes prior to the start of said meeting.
C. The duties
of the Treasurer shall be:
1. To keep accurate records of all Club fund transactions.
2. To collect all monies due the Club.
3. To make all payments from the Club fund when so ordered by the Club.
4. To prepare and deliver an up-to-date statement of Club treasury activity
at every monthly membership meeting.
5. To attend all monthly membership meetings.
6. To attend all Board of Officers and Directors meetings.
7. To provide copies of all Club-related correspondence addressed to the
Treasurer and/or to the Club Secretary.
8. To arrive at all monthly membership meetings at least fifteen (15)
minutes prior to the start of said meeting.
D. The duties
of the Secretary shall be:
1. To attend and record the minutes of all monthly membership meetings.
2. To attend and record the minutes of all Board of Officers and Directors
meetings.
3. To maintain a file of reports and Club correspondence.
4. To handle all Club correspondence.
5. To notify all members of special meetings.
6. To report the minutes of the previous month's membership and Board of
Officers and Directors meetings at each monthly membership meeting.
7. To produce a monthly club newsletter and to distribute it to all club
members on or before an appropriate deadline.
8. To provide copies of Club-related correspondence at each Board of
Officers and Directors meetings.
9. To arrive at all monthly membership meetings at least fifteen (15)
minutes prior to the start of said meeting.
<P>E. The duties of the Board of Directors shall
be:
1. To act for the Club in all matters ordered by the Club.
2. To properly investigate and present to the Club all business or important
activity situations.
3. To have general control over all Club affairs and to follow the vote of
the general membership in all club matters.
4. To arrive at all membership meetings at least fifteen (15) minutes prior
to the start of said meeting.
5. To conduct an audit of the treasury each year. Said audit shall be
conducted within the month of January.
6. The Directors shall meet prior to November each year to propose and
nominate potential candidates for the open positions of Officers and
Directors for the coming year.
Article VII -
Quorums
A. A quorum to conduct business at any Board of Officers and Directors
meeting shall be deemed to be no less than four Officers/Directors in
attendance.
B. A quorum to conduct business at any general membership meeting shall be
deemed to be no less than fifteen percent (15%) of the active membership in
attendance.
Article VIII
- Meetings
A. The regular meeting of the Club shall be held monthly at a time and place
to be determined at least one month in advance of the meeting date. The
President or Board of Directors may call a special meeting at any time by
notifying the secretary to contact members.
B. The President, as deemed necessary, shall call Board of Officers and
Directors meetings.
Article IX -
Dissolution
A. In the event the number of voting members become ten or less the
remaining members may, by majority vote, dissolve the Club.
B. The assets of the Club shall be distributed as determined by a two-thirds
majority of the remaining members, after all outstanding debts have been
paid. The assets may not benefit anyone associated with the organization.
Article X -
Amendments
A. Items in this constitution may be amended, adopted or repealed by a
two-thirds majority vote of the members present at any regular membership
meeting.
B. A minimum thirty-day written notification to all current members must
precede a vote on any proposed amendments.
